Export Promotion Council Corporation Secretary

Export Promotion Council (EPC) is a State Corporation under the Ministry of Industry, Trade and Co-operatives.

The primary mandate of the Council is to develop and promote export of Kenya’s goods and services.

Exports are the primary driver of our national economy and the Council wishes to strengthen and enhance delivery of this mandate by recruiting a high calibre, results oriented, experienced and skilled professional for the following position:

Terms of Employment: Four (4) Years Contract Renewable Subject to Performance
 
Corporation Secretary and Legal Services function entail: Provision of legal advice and secretariat services to the Board; liaise with external counsel for representation of the Council on legal matters; develop legal strategies on legal disputes, and litigations; ensure compliance to regulatory and statutory requirements; provision of guidance on governance to the Board and the Council; represent the Authority in various litigations; and keep custody of the Council Seal and all legal documents and instruments.
 
Job Description
 
The job description will entail:-
  1. Providing guidance to the Board on their duties and responsibilities and on matters of Governance
  2. Assisting the Board in carrying out Board induction and training; updating Board Committee Charters; preparation of Board Work-Plans; Board Evaluation; Governance Audit, and Implementation of the Code of Conduct and Ethics;
  3. Ensuring timely preparation and circulation of Board and Committee Papers;
  4. Ensuring timely circulation of Board and Committee Minutes;
  5. Keeping custody of the seal of the Organization and account to the Board for its use;
  6. Maintaining and update the Register of Conflict of Interest;
  7. Ensuring the Board Members are aware of all relevant laws affecting the Organization;
  8. Facilitating effective communication between the Organization and stakeholders;
  9. Ensuring that Annual returns are promptly filed with relevant authorities;
  10. Ensuring that Board and Committee papers are circulated in advance of any meeting;
  11. Providing legal guidance on contractual and statutory obligations binding to the Organization and legal duties for the Council.
Appointment Specification
 
For appointment to this grade a candidate must have:-
  1. Bachelors degree in Business Administration or any other relevant and equivalent qualification from a recognized Institution.
  2. Master’s in Business Administration or any other relevant and equivalent qualification from a recognized Institution.
  3. Member of the Institute of Certified Public Secretaries of Kenya;
  4. A minimum period of ten (10) years relevant work with at least five (5) years’ experience in a supervisory capacity;
  5. Leadership Course lasting not less than four (4) weeks from a recognized institution
  6. Proficient in computer operation
  7. Fulfilling the requirements of Chapter Six of the Constitution
  8. Demonstrated competence in work performance

  3. Credit Reference Bureau (CRB)
  4. Directorate of Criminal Investigations Department (DCI)
  5. Kenya Revenue Authority (KRA)
